You are responsible for maintaining the confidentiality of any login credentials we provide and for all activities that occur under your account. Please notify us immediately if you suspect unauthorized access to your account.
Service Delivery and Professional Standards
Professional Services
When you engage Quorum Basis for accounting or bookkeeping services, we commit to providing professional support in accordance with Dutch accounting standards and industry best practices. The specific scope of services, deliverables, timelines, and fees will be outlined in separate service agreements.
Our services are tailored to each client's needs. Standard service offerings include bookkeeping, financial statement preparation, tax compliance support, and financial guidance. Customized services may be available based on your specific requirements.
We maintain professional indemnity insurance and follow established quality control procedures to ensure service reliability.
Client Responsibilities
Effective service delivery requires collaboration. Clients engaging our services agree to provide accurate and timely information, respond to reasonable requests for documentation, and maintain organized records to support our work.
You remain responsible for the accuracy of source documents you provide and for business decisions based on our work. While we offer professional guidance, ultimate responsibility for business operations and compliance remains with you.
Service Availability and Modifications
Website Availability
We strive to maintain continuous website availability but cannot guarantee uninterrupted access. Scheduled maintenance, technical issues, or circumstances beyond our control may occasionally affect website functionality.
We do not guarantee that the website will be error-free or that defects will be corrected immediately, though we make reasonable efforts to address issues promptly.
Service Modifications
We may modify, suspend, or discontinue website features or service offerings at our discretion. When possible, we provide advance notice of significant changes that affect existing clients.
Updates to service methods, pricing structures, or operational procedures may occur to improve quality, comply with regulations, or respond to market conditions. Active service agreements will be honored according to their terms, but new engagements reflect current service specifications.
Geographic Limitations
Our services focus on businesses operating in or with connections to the Netherlands and European Union. While we maintain expertise in cross-border tax matters within Europe, we may decline engagements that primarily involve jurisdictions outside our areas of competence.
Fees and Payment
Service Fees
Fees for professional services are specified in individual service agreements. Pricing may be structured as monthly retainers, project-based fees, or hourly rates depending on the nature of the engagement.
Published pricing on our website represents standard rates for typical service arrangements. Actual fees may vary based on complexity, volume of transactions, urgency requirements, or other factors affecting the work involved.
All fees are quoted in euros and exclude applicable VAT unless otherwise stated.
Payment Terms
Standard payment terms are net 14 days from invoice date unless alternative arrangements are specified in your service agreement. Late payments may incur interest charges at statutory rates permitted under Dutch law.
We reserve the right to suspend services for accounts with overdue balances until payment is received. This does not release clients from payment obligations for work already performed.
Intellectual Property and Content
Website Content Ownership
All content on our website, including text, graphics, logos, images, and software, is owned by Quorum Basis or our licensors and protected by copyright and other intellectual property laws.
You may view and download content for personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from our content without written permission.
Client Materials
Work products we create for clients, such as financial statements, reports, and analyses, are provided for the client's internal business use. You may share these materials with advisors, lenders, or regulatory authorities as needed for business purposes.
Source documents and records you provide remain your property. We maintain copies as necessary for our records and regulatory requirements but do not claim ownership of your business information.
Trademarks
The Quorum Basis name, logo, and related marks are our trademarks. Use of these marks without permission is prohibited. Other trademarks mentioned on our website belong to their respective owners.
Service Termination
Client-Initiated Termination
Clients may terminate service relationships according to the notice provisions in their service agreements. Standard notice periods are 30 days for ongoing services, allowing orderly transition of work.
Termination does not relieve you of payment obligations for services rendered prior to the effective termination date.
Our Right to Terminate
We may terminate or suspend services if payment obligations remain unfulfilled, if you violate these terms, if continued service would compromise professional standards, or if circumstances make it impractical to continue the relationship.
Upon termination, we will provide reasonable assistance in transitioning to alternative service providers, subject to settlement of outstanding fees.
Liability Limitations
Service Limitations
While we provide professional services with reasonable care and skill, we cannot guarantee specific outcomes or results. Business success depends on many factors beyond accounting support, and financial performance remains subject to market conditions, management decisions, and other variables.
Our liability for professional services is limited as specified in individual service agreements, typically to the fees paid for the specific service giving rise to a claim or the limits of our professional indemnity insurance.
Website Disclaimer
Website content is provided for informational purposes. While we strive for accuracy, we do not warrant that all information is current, complete, or suitable for your specific situation.
We are not liable for damages arising from website use, technical issues, or reliance on general information provided online. Specific advice requires formal engagement of our services.
Governing Law and Disputes
These Terms of Service are governed by Dutch law. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts in Rotterdam, Netherlands.
We prefer to resolve disagreements through direct discussion before formal proceedings. If concerns arise about our services or these terms, please contact us to discuss a resolution.
If any provision of these terms is found unenforceable, remaining provisions continue in full effect.
